Terms of Service

Effective as of June 10, 2025

These Terms of Service ("Terms") are a legal agreement between you and Zydeer LLC ("Invent", "Zydeer", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

1. Definitions

  • “Services”: all software products, AI tools, APIs, web interfaces, agents, assistants, copilots, custom software development, consulting, integration work, and any related offerings provided by Zydeer.

  • “AI Tools”: any AI-powered features including but not limited to assistants, agents, and copilots.

  • “Client Projects”: any paid, custom software, consulting, or service engagements contracted between Zydeer and a client.

  • “User Content”: any information, data, or files you submit through our Services.

  • “You” or “User”: any person or entity using our Services.

2. Use of Services

You may use our Services only for lawful purposes. By doing so, you confirm that you are at least 18 years old and have the authority to enter into these Terms.

Our Services may include access to AI-powered features such as assistants, copilots, agents, or automated tools (“AI Tools”). These are offered for informational purposes only and should not be considered professional advice. You agree to use all AI Tools responsibly and in compliance with these Terms.

3. Intellectual Property

All content, software, and technology provided by Zydeer are owned by us or our licensors. You may not reproduce, distribute, or modify any part of our materials without prior written consent.

4. User Content

You own the content and data you submit through our Services. Zydeer does not use your data to train models. We don't store, process, or reuse your content beyond what's necessary to deliver, maintain, and secure the features you're actively using.

If you connect your own models or third-party accounts, you retain full ownership and control. Zydeer simply acts as a bridge, we don't claim rights over your models, prompts, or outputs.

For Client Projects or custom agreements, your data stays within the scope of that engagement. We'll never use it for any other purpose without your explicit permission.

5. No Guarantees

We provide our Services as they are and as available, without any promises or guarantees. While we work hard to make everything run smoothly, we can't guarantee the Services will always be perfect, uninterrupted, or a perfect fit for your specific needs.

We also don't make any legal warranties about things like merchantability, fitness for a particular purpose, or non-infringement.

6. Limitation of Liability

To the maximum extent permitted by law, Zydeer is not liable for any indirect, incidental, special, or consequential damages, including data loss, lost profits, or service interruptions.

7. Indemnification

You agree to indemnify and hold harmless Zydeer, its officers, employees, and affiliates from any claims, damages, or legal fees arising from your use of the Services or your violation of these Terms.

8. Termination

We may suspend or terminate your access at any time, with or without notice, if you breach these Terms or misuse our Services.

We may also terminate accounts inactive for over 12 months without an active paid plan. In such cases, we'll notify you in advance.

Appeals: If you believe your account was wrongfully terminated, you may contact us at [email protected] to request a review.

9. Discontinuation of Services

We reserve the right to discontinue our Services. If we do, we'll provide advance notice and refund any prepaid, unused portions according to our Refund Policy.

10. Dispute Resolution & Arbitration

You agree that any disputes will be resolved by binding arbitration in Miami-Dade County, Florida. You waive your right to bring claims in court or participate in class actions.

11. Governing Law

These Terms are governed by the laws of the State of Florida, excluding its conflict of law rules.

12. Severability & Entire Agreement

If any provision of these Terms is unenforceable, the rest remain in effect. These Terms, along with our Privacy Policy, are the entire agreement between you and Zydeer.

13. Force Majeure

Zydeer is not liable for delays or failure to perform due to causes beyond our control, including internet outages, natural disasters, or government actions.

14. Changes to These Terms

We may update these Terms at any time. For material changes, we will notify you via email or in-app notice. Continued use after the update means you accept the new Terms.

15. Use of AI Tools

Zydeer may provide access to AI-powered features (“AI Tools”) as part of its Services. By using these AI Tools, you understand and agree that:

  • Responses are generated by underlying large language models and may be inaccurate, outdated, biased, or inappropriate.

  • You are solely responsible for reviewing outputs before relying on them.

  • Zydeer disclaims liability for actions taken based on outputs from AI Tools.

  • Use of AI Tools must comply with all applicable laws and these Terms.

  • Zydeer may restrict or suspend access to AI Tools in cases of misuse, abuse, or violation of policies.

16. Custom Services

Zydeer may offer custom software, consulting, or integration services (“Client Projects”) to select clients. These are governed by separate agreements or SOWs. If there's a conflict between these Terms and a signed agreement, the signed agreement takes precedence.

Unless agreed otherwise:

  • “Zydeer retains ownership of any pre-existing tools, frameworks, or IP.”

  • “Clients get a limited license to use deliverables only as outlined in the agreement.”

  • “Client Projects are provided “as-is,” unless explicitly stated.”

Note: If you're using a co-branded or white-labeled version of our service, additional terms will be provided by your onboarding representative during setup.
